2024 Vamos Con Todo Fit Fest Terms & Conditions

CANCELLATION: The Exhibitor specifically recognizes and agrees that Kory V Fit LLC. will sustain losses in the event the Exhibitor fails to provide timely written notice of cancellation in keeping with industry practice, the existence of such practice being hereby acknowledged by the Exhibitor, and because such losses cannot be precisely measured but include the costs associated with the inability to replace those canceling, advertising, credibility, redesigning of floor space, and the like, the Exhibitor agrees upon the following late cancellation assessment schedule as being in the nature of liquidated damages, which schedule is specifically designed to compensate Kory V Fit LLC for Kory V Fit LLC losses and not constitute a penalty, should the Exhibitor fail to provide timely written notice of cancellation of all, or any part of Kory V Fit LLC assigned Sponsor/Vendor/Food truck space.

Cancellations will be accepted only in accordance with the above schedule. There will be no refunds for cancellations received on or after April 30th,2024.

If Sponsor/Vendor/Food truck space is not occupied by 6:00 am, June 22nd, 2024, Kory V Fit LLC rep shall have the right to use the space.

Sponsors – 20x20 Event Space

Vendors – 10x10 Event Space 

Food Trucks – Space for 1 Truck

 

ARRANGEMENT OF EXHIBITS: Booth, tent, chairs, tables, electricity etc. will not be provided. Exhibitor will provide all other furnishings, equipment, facilities, etc., at their own expense and responsibility. Exhibits specifications or which in design, operation, or otherwise, are objectionable in the opinion of the management will be prohibited. All demonstrations and exhibits must be confined to the exhibit booths. No exhibitor shall assign, sublet, or share the whole or any part of the booth space allotted. Exhibitor understands and agrees that Kory V Fit LLC has sole discretion on the assignment of booths. Kory V Fit LLC is under no obligation to assign Exhibitor any of the booths preferred by Exhibitor. Kory V Fit LLC reserves the right to alter Exhibitor’s assigned location at any time in its sole discretion if deemed in the best interest of the exhibit program as a whole.

 

GENERAL RESTRICTIONS:

  • Exhibitors are prohibited from using amplifying equipment that is objectionable to Kory V Fit LLC.
  • Exhibitors must confine their activities to their contracted space.
  • Exhibitors will not be permitted to use strolling entertainment 
  • Exhibitors who use costumed models or mannequins must ensure that their manner of appearance and dress is such as to not offend even the most critical.
  • Kory V Fit LLC reserves the right to require modification of questionable exhibits.
  • "Cash and Carry" sales are not permitted from the exhibit floor.
  • Exhibitors using music in their booth, either live or mechanical, must contact Kory V Fit LLC in writing for prior approval. Kory V Fit LLC reserves the right to determine at what point sound constitutes interference with other Exhibitors. Public address announcements are prohibited. 
  • Exhibitors are prohibited from serving alcoholic beverages. Any other food and beverages must be purchased through the official food vendors.
  • Exhibitors must comply with all safety provisions as noted in the Exhibitor Service Manual and as required by the Facility and Fire Marshal.
  • Exhibitors may not begin dismantling their exhibit until the close of the event. 
  • Exhibitors must display only products/services manufactured or distributed by their company. 

LIABILITIES: Neither Kory V Fit LLC, its agents, and employees, and the Facility or its employees shall be held liable for, and they are hereby released from liability for, any damage, loss, harm or injury to the person or property of the Exhibitor or any of its officers, agents, employees or other representatives resulting from theft, fire, water, accident or any other cause. In no event shall Kory V Fit LLC, its agents, and employees and the Facility or its employees be liable for any consequential, indirect or special damages, whether foreseeable or unforeseeable, whether based upon lost goodwill, lost profits, loss of use of the Exhibit Space, or otherwise, and whether arising out of breach of any express or implied warranty, breach of contract, negligence, misrepresentation, strict liability in tort or otherwise, and whether based on this Agreement, any transaction performed or undertaken under or in connection with this Agreement, or otherwise. Exhibitor agrees that the liability of Kory V Fit LLC, its agents, and employees, and the Facility or its employees for damages, regardless of the form of action, shall in any event be limited to the aggregate exhibit fees paid under this Agreement. The Exhibitor shall indemnify, defend and protect Kory V Fit LLC, its agents, and employees, and the Facility or its employees against, and hold and save Kory V Fit LLC, its agents, and employees, and the Facility or its employees harmless from, any and all claims, demands, suits, liability, damages, loss, costs, attorneys' fees and expenses of whatever kind or nature, which result from, arise out of, or are connected with any acts or negligence of, or failures to act by Exhibitor and, or any of their officers, agents, employees or other representatives, including, but not limited to, claims of damage or loss resulting from the breach of this Agreement, and claims of damage or loss to any third party resulting from any infringement of a copyright or patent or the unauthorized use of any trademark.

 

 

EXHIBITORS AGREE TO:

  • Set up exhibit the day before, or the day of before 7:00 am on June 22nd, 2024. Kory V Fit reserves the right to no permit exhibitor to participant in the event of exhibitor is not set up before 7:00 am the day of the event. No refunds will be made to exhibitors not allowed to participant due to showing up late.
  • Be responsible for the actions of the employees, representatives, athletes, or agents. Vulgar, disrespectful, unprofessional, disrespectful language or behavior will not be tolerated. Persons behaving in such manner will be escorted from the premises immediately.
  • Soliciting of personal training, either for in person or online training, is not allowed. Any individual or company caught soliciting these services to the participants, guest, or exhibitors of the event will be escorted from the event immediately.
  • Exhibitors are responsible for any damages made to the locations artificial turf, either by exhibitors equipment, employees, representatives or agents during set up, during the event and during dismantling of exhibit. Upon arrival of your exhibitors space, make sure that the space allotted to you is free of any damages and report any damages to representatives of Kory V Fit LLC as soon as possible. You will be responsible for any damages your exhibit, equipment, employees, or representatives cause to the location.  

 

VIOLATIONS : Any violation of these terms and conditions and/or the rules and regulations contained in the prospectus on the part of any Exhibitor will nullify Exhibitor’s right to occupy space. Such Exhibitor will not be released from liability and will forfeit to Kory V Fit LLC all monies that have been paid. In case of any violation of the terms and conditions and/or the rules and regulations on the part of the Exhibitor, right is hereby given to Kory V Fit LLC, at its option, to terminate the agreement to occupy space, and Kory V Fit LLC may enter and take possession of the space occupied by the Exhibitor and remove all persons and goods at the Exhibitor’s own risk.
